Contact Person :
DESOUZAS. Will nominate one authorized contact person from their organization, as the one-point contact, who will be responsible for executing all recruitment requirements of your organization.
Resume Processing :
All resumes will be sent by one authorized contact person from DESOUZAS through e-mail so as to ensure time and date stamp of receipt through e-mail. Resumes sent in soft copy format will contain the stamp of the DESOUZAS, will maintain exhaustive databases of candidates’ resumes. The resumes are the property of XYZZZZZ, It would be the responsibility of DESOUZAS, not to circulate or redeploy these resumes to any other associates.
Basis of Calculation of Professional Fees :
The professional fees would be applicable on a Cost-To-Company (CTC) basis. This would include cash components and also Retention & performance bonus.
Professional Fees :
Professional fees for successfully placed candidates would be:-
Experience (10+ Years and Above) :
15% of Annual Total Cost to Company including Incentive / Variable Pay / Bonus (TCTC) + Taxes as applicable
Experience (5.1yrs to 10yrs) :
12.5% of TCTC Company including Incentive / Variable Pay / Bonus + Taxes as applicable
Experience (0 to 5yrs) :
10% of TCTC Company including Incentive / Variable Pay / Bonus + Taxes as applicable
Service Tax :
As per the prevailing norms and laws of the land, Professional recruitment firms are required to charge Service tax @ 14% + Swachh Bharat Cess @ 0.5% + Krishi Kalyan Cess @ 0.5%
DESOUZAS would raise and present an invoice for the professional fees within 7 days of the date of joining of the selected candidate.
Payment Time Frame :
XYZZZZZ undertakes to make payment of the Invoice 30 Days / 1 Month from the date of Receipt of the same.
Mode of Payment :
By local cheque or demand draft or Online Transfer.
Validity of Resume :
In the event that XYZZZZZ recruits a candidate recommended by DESOUZAS ,upto 6 months from the time DESOUZAS sends a resume; DESOUZAS would be entitled to full payment.
Replacement Clause :
Option A :
In the event a selected candidate leaves within 90 days of joining DESOUZAS. will undertake to recommend and replace another candidate for the same position free of cost within 30days. In case of being unable to do so, the amount received will be refunded.
Option B :
In the event a selected candidate leaves within 90 days of joining, DESOUZAS. will undertake to recommend and replace another candidate for the same position free of cost within 30 days.
Termination Clause :
“Either party can terminate the agreement by giving 7 days notice. But all the committed obligations will be fulfilled by both parties in the event of termination. “
Validity of Agreement :
This agreement will be valid for 1 year from the signing date.
Confidential Information :
During the term of this Agreement and for one year afterwards, DESOUZAS will not use or disclose to others without XYZZZZZ written consent, the following confidential and proprietary information of XYZZZZZ or of third parties which the DESOUZAS is under an obligation to keep confidential (“Confidential Information”), except when reasonably necessary to perform the services under this Agreement:
- Internal organization
- Employee names
- Marketing and customer support strategies
- Financial information including salaries, benefits, perks, sales, costs, profits
Kind of products being developed and technologies involved
DESOUZAS, acknowledges that any Confidential Information is the sole, exclusive and extremely valuable property of XYZZZZZ or, as such information received from third parties, of those third parties. Accordingly, DESOUZAS. agrees to segregate all Confidential Information from information of other companies and agrees not to reproduce any of the Confidential Information without XYZZZZZ. prior written consent, not to use any Confidential Information except in the performance of this Agreement, and not to disclose or divulge all or any part of any Confidential Information in any form to any third party, either during or after the term of this Agreement. DESOUZAS agrees to pay damages without demur, as decided by XYZZZZZ for breach of this Clause.
Non-Solicitation of Employees :
During the term of this Agreement & for 12 months thereafter,DESOUZAS will not solicit or approach any of the XYZZZZZ,employee directly or indirectly including associate companies etc. for placement in any other company, within India or abroad.
A duly countersigned copy of this document would constitute a valid Agreement between. DESOUZAS and XYZZZZZ.
